Terms and Conditions

This terms and conditions is made effective once a course has been purchased, by and between Educational Content Creator Maycee Vee, LLC (hereinafter referred to as “Provider”/”Instructor”), and the individuals purchasing the course (hereinafter referred to as “Student”).
Services to be Provided
This Agreement outlines the terms and conditions under which individuals purchases access to one or more online courses (“Course” or “Courses”) provided by the Provider through mayceevee.com (hereinafter referred to as “Website”). By purchasing, enrolling in, or accessing any Courses, the Student agrees to comply with the following terms and conditions. These online courses are for informational and educational purposes only. The format may include pre-recorded lectures, discussions, presentations, quizzes, assignments, and Q&A sessions.
Course Purchase “As-Is” Notice (May only apply to some courses)
Course Status and Development: By purchasing this course, you acknowledge and agree that the program is currently under active development. This means that certain sections, chapters, lessons, or materials may still be in progress, subject to change, or added at a later date.
You understand that you are purchasing access to the course “as is” at the time of your enrollment, with the understanding that additional updates, modules, or improvements may be released over time at the sole discretion of the course Provider.
Course Access and Updates: You will receive access to all existing course materials immediately upon purchase, as well as access to any future updates, enhancements, or additional content released under the same course version.
The Provider reserves the right to modify, update, or remove course content without prior notice, to improve educational quality and Student experience.
Confidentiality & Use Restrictions
The course provider may disclose certain confidential and proprietary information, including but not limited to trade secrets, business strategies, and methodologies (the "Confidential Information") to the Student in connection with the Services. The Student acknowledges that the Confidential Information is valuable and sensitive, and agrees to maintain its confidentiality.
Obligations of Confidentiality:
The Student shall:
Hold the Confidential Information in strict confidence and protect it with at least the same degree of care as it protects its own confidential information.
Not disclose, reproduce, distribute, or disseminate the Confidential Information to any third party without the prior written consent of the Provider.
Use the Confidential Information solely for the purpose of receiving the Services and not for any other purpose.
Ensure that its representatives, agents, and contractors who have access to the Confidential Information comply with the obligations set forth in this Section.
Exclusions:
The obligations of confidentiality shall not apply to any information that:
Is or becomes generally available to the public through no fault of the Student.
Is already in the Student's possession at the time of disclosure, as evidenced by written records.
Is obtained from a third party who has the right to disclose such information.
Is required to be disclosed by law or court order, provided that the Student gives the Instructor prior notice and an opportunity to contest such disclosure.
Use Restrictions:
The Student agrees not to:
Use the Confidential Information to compete with the Provider or its affiliates.
Use the Confidential Information to develop or market any products or services that are similar to or competitive with those of the Providers.
Disclose the Confidential Information to any competitor of the Providers or its affiliates.
Intellectual Property: All intellectual property rights, including but not limited to copyrights, trademarks, graphics, and patents, in and to the Confidential Information and the Services shall remain the exclusive property of the Provider. The Student shall not claim any rights or interests in the Confidential Information or the Services.
Remedies: The Student acknowledges that any breach of the terms and conditions may cause irreparable harm to the Provider, and that monetary damages may not be sufficient to compensate the Provider for such breach. In the event of a breach or threatened breach, the Provider shall be entitled to seek injunctive relief, in addition to any other remedies available at law or equity.
Data Collection: By purchasing a Course, you consent to the Provider collecting and storing your personal data for administrative and communication purposes in accordance with our Privacy Policy.
Student agrees NOT to:
Share, disclose, or communicate any of the Providers materials, training content, strategies, or learning from the Training with any third party without prior written permission from the Instructor.
Record the session(s).
Share or redistribute any content or shared documents.
Use the Training for anything other than their own personal education and or teaching their own students.
Both parties agree to maintain the confidentiality of all information shared during the sessions, including but not limited to:
Student’s personal and financial information
Business strategies and plans
No Financial, Tax, or Legal Advice; No Guarantees (Crypto Lending Courses)
Educational Purpose: The Services provided by the Instructor are for educational and informational purposes only. The Instructor does not provide financial, tax, or legal advice, and the Student should not rely on the Services as a substitute for professional advice from a qualified financial advisor, tax professional, or attorney. Results depend on your personal effort, understanding, and implementation.
No Personalized Advice: The Services are general in nature and not tailored to the Student's individual financial situation, goals, or objectives. The Student acknowledges that the Instructor has not been retained to provide personalized advice or recommendations.
No Guarantees: The Instructor make no guarantees, representations, or warranties regarding the performance or outcome of any investment, strategy, or technique discussed in the Services. The Student understands that investments in crypto lending involves risk, and past performance is not indicative of future results.
Student Responsibility:
The Student is solely responsible for:
Making their own investment decisions and evaluating the risks and benefits associated with crypto lending.
Consulting with their own financial advisor, tax professional, or attorney to ensure compliance with applicable laws and regulations.
Understanding and accepting the risks associated with crypto lending, including but not limited to market volatility, liquidity risks, and regulatory changes.
Their financial, investment, tax, and legal decisions and outcomes.
Disclaimer:
The Instructor disclaims all liability for any loss or damages, direct or indirect, arising from the Student's use of the Services or reliance on the information provided.
The Instructor is not a licensed financial advisors, tax professionals, accountants, or attorneys. The Training does not include financial, tax, or legal advice, and nothing provided in the Course(s) should be construed as such.
The Instructor do not own or operate the platform(s) discussed in the session(s). The platform uses decentralized finance (DeFi) protocols and smart contracts. While it has shown consistent performance and Instructor(s) have earned returns, no specific profits or outcomes are guaranteed.
Instructor are participants, not operators, and cannot recover Student funds. The Training includes general educational recommendations and strategies based on Instructor(s)’ personal experience, and does not include personalized financial planning, investment allocations, tax planning, or legal guidance.
Risk Disclosure:
Student acknowledges that cryptocurrency and decentralized finance (DeFi) platforms are highly volatile, experimental, and subject to rapid change. Risks include, but are not limited to, token value fluctuations, regulatory changes, platform failures, and potential loss of all invested funds.
Student understands that outcomes depend on:
The amount they invest,
Platform performance,
Whether they follow the steps accurately.
By purchasing courses on mayceevee.com, Student acknowledges that all training is strictly educational and not financial advice.
Limitation of Liability
No Liability for Indirect Damages: In no event shall the Instructor(s) be liable for any indirect, special, incidental, punitive, or consequential damages, including but not limited to loss of profits, revenue, or business opportunities, arising out of or in connection with the Services.
Limitation of Liability: The Instructor(s)'s total liability for all claims arising out of or in connection with the Services shall be limited to the amount paid by the Student to the Instructor(s) for the Services.
No Liability for Third-Party Content: The Instructor(s) shall not be liable for any loss or damage caused by the inaccuracy or incompleteness of information provided by third parties, or for any loss or damage resulting from the Student's reliance on such information.
No Warranty: The Instructor(s) make no warranty, express or implied, regarding the Services, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
Student's Assumption of Risk (if they enroll in crypto lending courses): The Student acknowledges that the Services involve risks, including but not limited to market volatility, liquidity risks, and regulatory changes. The Student assumes all risks associated with the Services and releases the Instructor(s) from any liability for damages or losses arising from such risks.
Educational Liability Waiver (if they enroll in crypto lending courses): The session(s) provided by the Instructor(s) are for educational and informational purposes only. Student understands that the Instructor is not a financial advisor. Recommendations provided from Instructor(s) do not replace knowledge of a financial advisor. Instructor(s) are not responsible for any financial losses, errors, or investment decisions made by the Student during or after the session(s). Student assumes all risks and liability associated with crypto lending investment activity.
Indemnification
Student Indemnification: The Student agrees to indemnify, defend, and hold harmless the Instructor(s), its affiliates, officers, directors, employees, agents, and contractors (the "Indemnified Parties") from and against any and all claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in connection with:
The Student's breach of this Agreement.
The Student's misuse or misrepresentation of the Services or Confidential Information.
Any unauthorized use or disclosure of the Confidential Information.
Any claims or disputes arising from the Student's investment decisions or transactions.
Indemnification Procedure: The Indemnified Parties shall provide the Student with prompt written notice of any claim or demand for which indemnification is sought. The Student shall have the right to assume control of the defense and settlement of such claim or demand, subject to the Indemnified Parties' reasonable cooperation.
Governing Law and Jurisdiction
This terms and condition is governed by the laws of the State of Minnesota. Any legal claims must be filed in a Minnesota court.
Any disputes shall be brought exclusively in the state or federal courts located in Hennepin County, Minnesota.
The parties agree to resolve disputes through binding arbitration in Hennepin County, Minnesota, under the rules of the American Arbitration Association.
Legal Compliance
If a Student is enrolling in crypto lending courses, they understand that they are solely responsible for ensuring the legality of crypto investment activity in their permanent residence as listed in this terms and conditions. Instructor(s) provide no compliance guidance for other jurisdictions. Student further acknowledges that laws and regulations regarding cryptocurrency may change, and Student bears full responsibility for determining whether their activities remain compliant at all times.
Acknowledgment and Eligibility
Student confirms that they:
Understand that by purchasing the courses and attending the sessions are for educational and informational only.
Are fully responsible for their own investment outcomes.
Are 18 years or older.
No Fiduciary Relationship
Nothing in this Agreement shall be construed to create any partnership, joint venture, fiduciary, or advisory relationship between the Instructor and the Student. Instructors’ role is strictly limited to providing informational instruction and educational recommendations as described in these terms and conditions.
Student-Centric Approach
Instructor will:
Provide accurate and unbiased information recommendations, products, and services.
Disclose any potential conflicts of interest or biases that may influence the Instructor's recommendations.
Maintain confidentiality and protect Student information in accordance with applicable laws and regulations.
By engaging in the session(s), 1:1 session(s), and enrolling in courses, Student’s can trust that the Instructor will act with integrity, transparency, and professionalism, always prioritizing their Student’s best interest.
Terms and Termination
Term: This Agreement shall commence on the date that the Course(s) are purchased and shall continue until the completion of the Services, unless terminated earlier in accordance with this Section.
Termination by Provider: Notwithstanding anything to the contrary, the Provider may discontinue the Student’s access to the courses at any time upon written notice to the Student in the event of a material breach by the Student, including but not limited to non-payment of fees or violation of confidentiality obligations.
Effect of Termination: If this Agreement is terminated by the Provider due to the Student's breach, all fees paid by the Student shall be non-refundable and retained by the Instructor(s) as liquidated damages.
Course Access and License
Grant of Access: Upon successful payment, Provider grants Student a limited, non-exclusive, non-transferable, revocable license to access and use the Course content for personal, educational, and non-commercial purposes only.
Access Duration: Unless otherwise stated, Course access is granted for lifetime access or for as long as the website is up and running.
Prohibited Actions: Student agrees not to:
Share, resell, or distribute course materials to third parties.
Record, screenshot, or reproduce course content without written consent.
Use Course materials for commercial or instructional purposes outside personal learning.
Provide your login credentials to another individual.
Intellectual Property Rights
Ownership: All Course materials, including videos, text, images, graphics, downloadable files, and trademarks, are owned or licensed by the Provider and protected under intellectual property laws.
Limited License: You are granted the right to use the Course content solely for personal educational use. You may use templates that are shared with you with your own students. No ownership rights are transferred to you.
Violation: Unauthorized distribution or reproduction of materials may result in immediate termination of access and potential legal action.
Entire Agreement
These terms and conditions, including any legal notices and disclaimers contained on this Website, constitute the entire agreement between Maycee Vee, LLC, and you in relation to your use of this Website, and supersede all prior agreements and understandings with respect to the same.
Acknowledgement
By purchasing or accessing the online course(s), you acknowledge that you have read, understood, and agree to these terms and conditions.
